These Terms of Service ("Terms") govern your access to and use of the services provided by Byterat, Inc. d/b/a Ohm ("Ohm," "we," "our," or "us"). By accessing or using our services, you agree to these Terms. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

1. Services

Ohm provides a platform for ingesting, processing, and analyzing time series battery data.

• Data Ingestion: Customers may upload raw battery data files.
• Processing: We run automated pipelines that compute metrics from uploaded data.
• Storage: Raw files are stored in our cloud environment; computed metrics and outputs are stored in our secure managed databases.
• Access: Customers access the platform via accounts managed through a third-party authentication provider.

2. Customer Responsibilities

You agree to:

• Provide accurate and lawful user data
• Maintain the security of your accounts and credentials
• Use the services only in compliance with applicable laws and regulations
• Not misuse the services, attempt unauthorized access, or interfere with other customers' use

You retain all rights, title, and interest in and to your uploaded data.

3. Our Responsibilities

We will:

• Implement and maintain reasonable security measures to protect customer data
• Provide uptime and support consistent with our service commitments
• Delete or return customer data upon termination in accordance with our data retention policies

We may update, suspend, or discontinue parts of the service, but will provide reasonable notice of material changes.

4. Data Ownership and Use

• Customer Data: You own all battery data and computed outputs. We do not sell or share customer data.
• License to Use Data: You grant us a limited license to process, store, and display your data solely to provide the services.
• Aggregated Data: We may generate anonymized, aggregated insights for product improvement or research, but never in a way that identifies you or your customers.

5. Payment and Billing

• Fees are non-refundable except as required by law or stated in a separate agreement.
• Failure to pay may result in suspension or termination of services.

6. Termination

Either party may terminate use of the services:

• By Customer: At any time, subject to your contract terms.
• By Ohm: If you violate these Terms, fail to pay, or misuse the service.

Upon termination, we will delete or return your data in accordance with our Privacy Policy and applicable agreements.

7. Disclaimers

• Services are provided "as is" and "as available."
• We do not guarantee uninterrupted or error-free operation.
• We disclaim all warranties, express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law:

• Ohm will not be liable for indirect, incidental, or consequential damages.
• Our total liability will not exceed the fees paid by you to us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of Delaware, without regard to its conflict of law principles.

10. Changes to the Terms

We may update these Terms from time to time. If material changes are made, we will notify customers by email or via the platform. Continued use of the services after such changes constitutes acceptance.
